This website is operated by ORVADEL INC under the brand name Orvadel.

Throughout these Terms of Service, "Orvadel," "we," "us," and "our" refer to ORVADEL INC and the Orvadel online store, as applicable.

These Terms of Service govern your access to and use of orvadel.com, including the purchase of products and use of services made available through the website.

By accessing our website, creating an account, or placing an order, you agree to these Terms of Service and the policies incorporated by reference.

If you do not agree to these Terms, please do not use the website or place an order.

1. Eligibility and Lawful Use

You may use our website only for lawful purposes.

You are responsible for ensuring that your use of the website and any purchase you make complies with applicable law.

You may not use the website to engage in fraud, unauthorized transactions, infringement, malicious activity, or any other unlawful activity.

You must not transmit viruses, malicious code, or other technology designed to interfere with the website or related services.

2. Online Store

Our online store is provided using Shopify technology and may rely on third-party payment, analytics, communications, logistics, and other service providers.

Your use of third-party services may also be subject to the applicable third party's terms and privacy practices.

3. Product Information

We aim to provide accurate product descriptions, materials, dimensions, pricing, and availability information.

Natural materials and furniture finishes may have variations in grain, texture, pattern, and color.

Display settings and lighting conditions may also affect how product colors appear on a screen.

If a specific dimension, material, color, or configuration is important to your purchase, contact support@orvadel.com before placing your order.

4. Pricing

Product prices are displayed on the applicable product page and during checkout.

Prices may change from time to time.

A price change does not affect an order that has already been accepted and paid, except where there is an obvious technical or pricing error and applicable law permits correction.

Optional services, including paid air freight or White Glove Delivery, may involve separate charges.

Applicable charges will be disclosed or confirmed before the service is arranged or charged.

5. Orders and Order Acceptance

Submitting an order does not require Orvadel to accept an order that is fraudulent, unlawful, technically invalid, affected by a material pricing error, or impossible to fulfill.

After an order is submitted, we may review order and payment information.

We reserve the right to reject or cancel an order where reasonably necessary because of:

Suspected fraud
Unauthorized payment
Material website or pricing error
Product unavailability
Legal or regulatory restrictions
An inability to fulfill the order

If Orvadel cancels an accepted paid order for one of these reasons, amounts paid for the canceled products will be refunded as applicable.

6. Customer Information

You agree to provide accurate and current information when placing an order or creating an account.

Please contact us promptly if you discover an error.

Changes may not be possible after processing, customization, production, or shipment begins.

7. Custom and Made-to-Order Products

Selected products may be available with custom dimensions, materials, colors, finishes, or configurations.

Custom specifications, pricing, and applicable production information must be confirmed for the applicable order.

Custom and made-to-order products may require additional production time.

They cannot be canceled once production begins.

Custom and made-to-order products are generally non-returnable except where the product arrives with eligible transit damage, has an eligible manufacturing defect, is incorrect, or does not match the confirmed order specifications.

8. Trade and Commercial Orders

Orvadel offers a Trade Program for qualified professionals and businesses.

Approved trade or commercial orders may be subject to project-specific:

Product specifications
Production timelines
Shipping arrangements
Delivery services
Warranty terms

Where separate written trade or project terms are confirmed before purchase, those terms apply to the applicable order in addition to these Terms of Service.

The standard 2-Year Limited Furniture Warranty applies to eligible products under normal residential use.

Commercial and other non-residential warranty coverage is not automatic and must be confirmed in writing where applicable.

9. Payment

You agree to provide valid payment information and authorize the applicable payment amount for your order.

Payments may be processed by third-party payment providers.

We do not require you to provide payment card information directly by email.

If a payment cannot be authorized or is later identified as unauthorized or fraudulent, the applicable order may be delayed or canceled.

10. Shipping and Delivery

Order processing, shipping methods, delivery estimates, freight charges, and delivery services are governed by our Shipping Policy.

Free standard ocean freight is available to eligible delivery addresses in the contiguous United States.

Air freight is an optional paid upgrade.

White Glove Delivery is an optional paid service for eligible products and selected delivery areas.

Delivery estimates are estimates and may be affected by circumstances outside our reasonable control.

Please review our Shipping Policy before placing an order.

11. Cancellations and Order Changes

Orders may be canceled free of charge within 24 hours after placement, provided that processing, customization, production, or shipment has not begun.

After 24 hours but before shipment, cancellation may be approved depending on the order status.

An approved cancellation after the first 24 hours is subject to a 10% cancellation fee.

Once an order has shipped, it cannot be canceled.

Custom and made-to-order products cannot be canceled once production begins.

Order change requests are subject to the current order status and are not guaranteed.

12. Returns and Refunds

Eligible returns are governed by our Return & Refund Policy.

Eligible products may generally be returned within 30 days after delivery, subject to the return eligibility requirements.

For non-defective returns, the customer is responsible for return shipping costs and a 10% restocking fee applies.

Certain custom, made-to-order, final sale, used, assembled, modified, or damaged products are not eligible for return except where otherwise stated in the Return & Refund Policy.

Do not return a product without prior authorization and return instructions from Orvadel.

13. Warranty

Eligible furniture purchased from orvadel.com may be covered by our 2-Year Limited Furniture Warranty.

The standard warranty applies to eligible manufacturing defects under normal residential use.

Coverage, exclusions, claim requirements, and available remedies are described in our Warranty Policy.

Commercial and other non-residential warranty terms, if any, must be separately confirmed in writing.

14. Third-Party Services and Links

The website may include links, tools, integrations, or services provided by third parties.

We do not control every third-party website or platform.

Your use of a third-party service may be subject to that provider's own terms and privacy policy.

A link to a third-party website does not necessarily constitute an endorsement of all content or services offered by that third party.

15. Intellectual Property

Unless otherwise stated, website content is owned by ORVADEL INC, Orvadel, or used with applicable permission, authorization, or license.

You may not reproduce, copy, distribute, modify, or commercially exploit protected website content without applicable authorization, except as permitted by law.

Third-party trademarks and content remain the property of their respective owners.

16. User Communications and Submitted Content

When you contact us or submit information through the website, you are responsible for ensuring that the information is lawful and does not infringe the rights of others.

You must not submit unlawful, threatening, malicious, fraudulent, or infringing content.

Photos or videos submitted for a product, return, damage, defect, or warranty claim may be used to review and process that request.

Personal information is handled in accordance with our Privacy Policy.

Nothing in these Terms limits a product warranty or consumer right that Orvadel expressly provides or that applicable law requires.

20. Limitation of Liability

To the maximum extent permitted by applicable law, ORVADEL INC and Orvadel will not be liable for indirect, incidental, special, or consequential loss arising solely from the use or inability to use the website.

This limitation does not exclude liability that cannot lawfully be excluded or limited.

Product, refund, shipping, and warranty obligations expressly stated in our applicable policies remain subject to those policies.

21. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless ORVADEL INC and its officers, employees, agents, contractors, and service providers from third-party claims arising directly from your unlawful use of the website, material breach of these Terms, or infringement of another party's rights.

22. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue in effect.

23. Termination

You may stop using the website at any time.

We may suspend or terminate access to the website where reasonably necessary because of a material violation of these Terms, unlawful activity, fraud, malicious activity, or a security risk.

Obligations and liabilities that arose before termination remain effective where applicable.

24. Entire Agreement

These Terms of Service, together with policies and written terms expressly incorporated into an applicable transaction, constitute the applicable agreement concerning your use of the website and purchase through the online store.

A failure to enforce a provision on one occasion does not waive the right to enforce that provision later.

We may update these Terms from time to time for operational, legal, technical, or regulatory reasons.

The revised Terms will be posted on this website and the "Last updated" date will be changed.

The version applicable to a transaction will be determined according to applicable law and the circumstances of the transaction.

To the extent permitted by applicable law, disputes relating to these Terms shall be subject to the jurisdiction of courts located in Colorado.

Nothing in these Terms limits rights that cannot lawfully be waived under applicable consumer protection law.
